Service Specific Terms for Artificial Intelligence Features
These are the service specific terms (“Terms”) for enabling various Teradata features that involve artificial intelligence-related tools, models, and/or features (each, an “AI Feature”) and supplements any executed agreements you have in place with Teradata. Those agreements will remain in full force and effect, except that they will be extended and amended as set forth in these Terms with respect to the AI Feature. Should a conflict arise between these Terms and your executed agreements with Teradata, the provisions of these Terms shall control regarding its subject matter.
1. Overview and Agentic Features
WARNING: THE AI FEATURE MAY OPERATE AUTONOMOUSLY AND UTILIZE ALL ACCESS RIGHTS, PERMISSIONS, AND CREDENTIALS YOU PROVIDE TO IT. YOU ARE RESPONSIBLE FOR ENSURING THAT SUCH ACCESS IS APPROPRIATE AND LIMITED TO THE EXTENT NECESSARY FOR YOUR USE CASE. TERADATA IS NOT RESPONSIBLE FOR ANY ACTIONS TAKEN BY THE AI FEATURES WITHIN THE SCOPE OF SUCH ACCESS.
You should not rely on any results or responses generated by the AI Feature (“Output”) without independent verification of such. You must determine the suitability of the use of such AI Feature for any purpose. Given the probabilistic nature of machine learning and modeling, the use of the AI Feature may in some situations result in incorrect Output that does not accurately reflect the action generated. THE AI FEATURE DOES NOT GUARANTEE HUMAN REVIEW OR OVERSIGHT OF ANY ACTIONS OR OUTPUT. TERADATA MAKES NO WARRANTY OR REPRESENTATION THAT ANY OUTPUT GENERATED BY THE AI FEATURE WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU ACKNOWLEDGE THAT THE USE OF OUTPUT IS AT YOUR SOLE RISK.
2. License
Teradata hereby grants you a non-exclusive, non-transferable license to access and use the AI Feature in your environment. Your rights in and to the AI Feature is limited to those expressly granted under these terms and no other licenses are granted whether by implication, estoppel or otherwise. Teradata reserves all rights, title and interest in and to the AI Feature not expressly granted under these terms.
You agree that you will not (nor authorize third parties to): (i) reverse engineer, decompile, disassemble or attempt to derive the source code, underlying ideas, algorithm or structure of the AI Feature provided to you in object code form; (ii) sell, transfer, assign, distribute, rent, loan, lease, sublicense or otherwise make available the AI Feature or its functionality to third parties; (iii) modify, translate or otherwise create any derivative works of any AI Feature; (iv) use the AI Feature, or allow its use, transfer, transmission or export in violation of any applicable export control laws, rules or regulations; (v) use the AI Feature for the purpose of developing competing products or technologies or assisting a third party in such activities; (vi) use the AI Feature for high risk activities where failure could lead to death, personal injury, or severe property/environmental damage.
3. Third-Party Services
The AI Feature uses certain third party or open source software, services, or features (collectively, “Third Party Services”). Each Third Party Service is licensed to you subject to the applicable license terms accompanying it, included in/with it, referenced in it, or otherwise entered into by you with respect to it. TERADATA DISCLAIMS ALL LIABILITY ARISING FROM OR RELATED TO YOUR USE OF SUCH THIRD-PARTY SERVICES.
For instance:
- If Microsoft Corporation’s (“Microsoft”) Azure OpenAI Service is being used, then subject to any other additional Third Party Services terms that might be applicable, the use of the AI Feature is also subject to your agreement with the following additional terms from Microsoft:
- If Amazon Web Services, Inc.’s ("AWS") Bedrock Service as well as Anthropic PBC’s (“Anthropic”) services are being used, then subject to any other additional Third Party Services terms that might be applicable, the use of the AI Feature is also subject to your agreement with the following additional terms from AWS and Anthropic:
- If Google LLC’s (“Google”) Gemini Enterprise Service is being used, then subject to any other additional Third Party Services terms that might be applicable, the use of the AI Feature is also subject to your agreement with the following additional terms from Google:
- If NVIDIA Corporation (“Nvidia”) AI Enterprise is being used, then subject to any other additional Third Party Services terms that might be applicable, the use of the AI Feature is also subject to your agreement with the following additional terms from NVIDIA:
4. Ownership
The AI Feature, and the respective intellectual property rights therein, is and will remain the sole and exclusive property of Teradata and its licensors. As between Teradata and you, Teradata and its licensors retain all intellectual property rights in the AI Feature. You may provide feedback and suggestions about the AI Feature to Teradata and Teradata and its affiliates may use any feedback provided without restriction and without obligation to you.
As between the parties, to the extent permitted by applicable law and any additional terms and conditions of Third-Party Services, you own all Output. Teradata shall not use the AI Feature to train on your data; provided, however, that this no-training commitment does not apply to any third party providing Third-Party Services (including any third-party artificial intelligence or large language model) you choose, via bring your own model option, to use with the AI Feature. Such Third Party Services that you choose to use are governed solely by the applicable third-party terms between you and such third-party.
5. Artificial Intelligence Regulations
By accessing and using the AI Features, you acknowledge and agree that you are solely responsible for ensuring compliance with all applicable laws, regulations, and restrictions governing your access and use of artificial intelligence-powered (“AI”) features, including but not limited to European Union AI Act, AI-related laws and regulations, privacy laws, export controls, and financial or sector-specific regulations. Teradata makes no representations or warranties regarding the regulatory compliance of your use of the AI Feature in specific jurisdictions. It is your responsibility to assess and implement any necessary safeguards to comply with applicable legal and regulatory requirements.
6. Data Processing
Unless you are hosting certain Third-Party Services such as artificial intelligence large language models in your own fully-controlled data environment where the AI Feature resides, you understand that queries submitted to the AI Feature will leave your applicable data environment to be sent to certain Third-Party Services for processing pursuant to the terms and conditions set out by such Third-Party Services. You further acknowledge that the Third-Party Service is your processor acting on your behalf and not a sub-processor acting on Teradata’s behalf. Any data processing or data security provisions in any underlying agreement between Teradata and you do not apply to the connection between Teradata and the Third-Party Services, or any processing done by the Third-Party Services. As the controller of your customer data, you are responsible for determining what data to submit to any processor and for what purposes. As such, it is incumbent upon you to determine what data to submit in such queries.
7. Improvement and Monitoring of Telemetry Data
Notwithstanding anything to the contrary, Teradata shall have the right to collect and analyze data and other information relating to the provision, use and performance of various aspects of the AI Feature and related systems and technologies (“Telemetry Data”), and Teradata will be free (during and after the term hereof) to use such Telemetry Data to improve and enhance the AI Feature and for other payment, development, diagnostic and corrective purposes in connection with the Feature and other Teradata offerings.
8. Support
To the extent that Teradata provides any custom support for the AI Feature, it will be described in the applicable service description or other document made available by Teradata. For pre-general availability releases, related to the AI Feature, Teradata may provide you with certain consulting, technical assistance, installation, training, support, or maintenance services (collectively and individually, “Services”). To the extent that Teradata elects to provide you with any Services (including providing an email address or other forum where you can submit questions or issues related to the AI Feature), such Services are provided to you at Teradata’s sole discretion and may be modified or discontinued at any time for any reason.
9. Pricing
If applicable, you will pay the fees related to the use of the AI Feature as described in the applicable service description or other document made available by Teradata. Except as otherwise specifically provided in this Agreement, the fees are non-refundable, you will also pay all taxes (including without limitation sales, use, excise, value added, and gross receipts) levied on the Software, except taxes based on Teradata’s net income.
10. Private Preview
If the AI Feature is made available to you for evaluation purposes pre-general availability, then the following terms will also apply:
- You acknowledge that such AI Feature is experimental, has not been fully tested, and may contain errors and bugs. Teradata does not guarantee that a commercial version of the AI Feature or that associated products will be released. Teradata will have no obligation to provide support for the AI Feature.
- THE AI FEATURE IS PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS OF ANY KIND INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, NON-INFRINGEMENT OR WITH RESPECT TO DATA SECURITY.
- IN NO EVENT SHALL TERADATA OR ITS AFFILIATES BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE AI FEATURE, EVEN IF TERADATA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
